Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of skyvaltechnologies.com (the "Site") and any services delivered by Skyval Technologies ("Skyval", "we", "us"). By using the Site or engaging Skyval, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that entity.

2. Services

Skyval offers AI agents, AI-powered SaaS development, web and mobile app development, AI integrations and LLM solutions, workflow automation, digital marketing, web design and content, SEO and AEO, and related advisory services.

Specific scope, deliverables, fees, and timelines for any engagement are defined in a separate Statement of Work, proposal, or contract signed by both parties. Those documents prevail over these Terms in case of conflict on engagement-specific matters.

3. Use of the website

You agree to use the Site for lawful purposes only and not to interfere with its operation, attempt to gain unauthorized access, or scrape content beyond what robots.txt allows.

We may suspend or terminate access to the Site at any time, without notice, for any reason — including suspected misuse.

4. Intellectual property

All content on the Site — text, graphics, logos, code, and designs — is owned by Skyval or its licensors and is protected by copyright, trademark, and other laws.

Engagement deliverables transfer to the client per the terms of the signed Statement of Work, typically upon full payment. Skyval retains the right to use general know-how, frameworks, and non-confidential learnings.

5. Fees & payment

Fees, retainers, milestone payments, and refund policies are defined in your Statement of Work. Late payments may incur interest and may pause active work.

All fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable VAT, GST, or sales tax.

6. Confidentiality

Each party will protect the other's confidential information using at least the same standard of care it uses for its own — and never less than reasonable care.

Confidentiality obligations survive termination for three years, except for trade secrets, which are protected indefinitely.

7. Warranties & disclaimers

We provide our services with reasonable skill and care. The Site and its content are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

AI-generated outputs may contain errors. You are responsible for reviewing and validating outputs before relying on them in production.

8. Limitation of liability

To the maximum extent permitted by law, Skyval will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.

Our aggregate liability arising out of or related to an engagement will not exceed the fees paid by you to Skyval in the 6 months preceding the event giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Skyval from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of deliverables, or your violation of any third-party rights.

10. Termination

Either party may terminate an engagement per the notice provisions in the Statement of Work. Upon termination, you will pay for all work completed up to the termination date.

Sections that by their nature should survive termination (IP, confidentiality, payment, liability, indemnity, governing law) will survive.

11. Governing law

These Terms are governed by the laws applicable to Skyval's primary place of business, without regard to conflict-of-law principles. Disputes will be resolved through good-faith negotiation first; if that fails, by binding arbitration or competent courts as agreed in the Statement of Work.

12. Changes to these terms

We may update these Terms from time to time. The "last updated" date below reflects the most recent revision. Continued use of the Site after changes means you accept the revised Terms.
